In corporate governance the role of independent directors plays a vital role. The independent director is essential for the companies to protect the interest of the investor and to boost up the companies growth. The directors should ensure their duties and functions in the companies. The knowledge, skills and experience of independent directors in their profession should be properly utilized in the board and independent directors should spend time in understanding the business in the companies. The present study reveals that majority of independent directors are professionals and experienced in their respective field and they have awareness of functions, qualities and provisions under Clauses 49 of independent directors in the corporate governance. Hence the independent directors in the corporate governance are important for every company in India.

The author is pursuing his doctoral research program in Department of Banking Technology, Pondicherry University, Puducherry. He published nine articles in both International and National Journals.He also co-author for one book in leading publication.
